These Terms and Conditions of Sale (“Terms”) govern the contractual relationship between Gash Systems LLC, operating under the brand name Sam Gash, and its clients.
Any order, quotation acceptance, or engagement implies full and unconditional acceptance of these Terms, unless expressly agreed otherwise in writing by Gash Systems LLC.

2. Scope of application
These Terms apply to all services provided by Gash Systems LLC, including but not limited to:
Preliminary technical assessments and field evaluations;
Supply and installation of GEPS systems developed by Exlterra;
Drilling, perforation, and installation work related to these systems;
Associated consulting, monitoring, and maintenance services.
3. Quotes and orders
All services are subject to a written quotation, valid for 30 days from the date of issuance, unless stated otherwise.
An order becomes binding only upon written acceptance of the quotation by the client and, where applicable, receipt of the required deposit.
Gash Systems LLC reserves the right to refuse or suspend an order if technical, operational, or financial conditions are not met.
4. Pricing and payment terms
Prices are stated in U.S. dollars (USD) and exclude applicable taxes unless explicitly indicated otherwise.
Payment terms (deposit, balance, payment schedule) are specified in the quotation.
Any late payment may, without prior notice, result in:
Late payment interest at the maximum rate permitted by applicable law; and
Recovery of reasonable collection costs incurred by Gash Systems LLC.
All supplied equipment remains the property of Gash Systems LLC until full payment has been received.
5. Execution timelines and performance of work
Any execution timelines indicated in the quotation are provided for information purposes only and are not guaranteed.
Gash Systems LLC shall not be held liable for delays resulting from external factors, including but not limited to:
weather conditions;
site accessibility issues;
supplier delays;
administrative or permitting delays;
force majeure events.
The client agrees to provide safe, unrestricted access to the site and to supply all necessary and accurate information prior to the commencement of work.
6. Client obligations
The client agrees to:
Provide accurate and complete information regarding site conditions and constraints, including underground utilities, easements, or restrictions;
Obtain all required permits, authorizations, or third-party approvals;
Ensure site safety and access conditions for Gash Systems LLC personnel and equipment.
Failure to meet these obligations may result in suspension of the work without compensation or liability.
7. Warranties and limitation of liability
GEPS systems supplied are compliant with the technical specifications defined by the manufacturer, Exlterra.
Gash Systems LLC warrants that installations are performed in a professional and workmanlike manner, consistent with industry standards.
The warranty is limited strictly to proper execution of the work and the integrity of installed products. It excludes, without limitation:
Damage resulting from improper use or misuse;
Consequences of exceptional natural events (major flooding, earthquakes, etc.);
Damage caused by lack of proper or timely maintenance by the client.
Gash Systems LLC shall not be liable for indirect, incidental, or consequential damages, including loss of revenue, loss of use, or business interruption.
8. Claims and disputes
Any claim must be submitted in writing to contact@samgash.com within 8 business days of discovery of the issue.
The parties agree to seek an amicable resolution before initiating formal legal proceedings.
Failing amicable resolution, any dispute shall fall under the exclusive jurisdiction of the competent courts of the State of Texas, without regard to conflict-of-law principles.
9. Right of cancellation (individual consumers)
Where required by applicable U.S. consumer protection laws, individual consumers may have a limited right to cancel a contract within a legally defined cooling-off period.
This right does not apply where:
Services have begun with the consumer’s prior written consent; or
The contract falls outside statutory consumer cancellation provisions.
Details, where applicable, will be provided with the quotation or upon request.
10. Force majeure
Gash Systems LLC shall not be held liable for failure or delay in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, extreme weather, strikes, pandemics, governmental actions, or supply chain disruptions.
11. Personal data
Personal data collected in connection with commercial relationships is processed in accordance with the Privacy Policy available on the website.
12. Modification of terms
Gash Systems LLC reserves the right to modify these Terms at any time.
The version in force at the date of quotation acceptance or order confirmation shall apply.
